Introduction

Welcome to Aura. This Aura User Agreement (the "Agreement") is entered into between you and EchoAI Digital Limited ("we," "us," or "our") regarding your use of Aura websites, apps, and related services (collectively, the "Services").

By clicking "Agree," registering, signing in, or otherwise accessing or using the Services, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, please stop using the Services immediately.

1. Scope

1.1 This Agreement applies to all features and services provided by Aura, including but not limited to AI interaction, remote control, content generation, community features, customer support, and future features.

1.2 This Agreement and the Aura Privacy Policy together form the complete rules governing your use of the Services. Privacy matters are governed by the Aura Privacy Policy.

2. Eligibility, Age, and Adult Content

2.1 You must be at least 18 years old, or the age of majority in your jurisdiction, and legally capable of entering into this Agreement.

2.2 The Services may include adult/sexual content. If such content is restricted or unlawful where you are located, you must stop using the Services.

2.3 We may implement reasonable age and eligibility verification measures and may restrict, suspend, or terminate access for ineligible users.

3. Account and Security

3.1 You must provide true, accurate, and complete information and keep it updated.

3.2 You are responsible for safeguarding your account credentials and verification codes, and for all activities under your account.

3.3 Risks and losses caused by your failure to safeguard your account are your responsibility.

3.4 If you detect unauthorized use or account abnormalities, contact us promptly at echoai@realaura.ai.

4. Service Content, Changes, and Availability

4.1 We may provide, adjust, upgrade, limit, suspend, or discontinue any part of the Services based on business and operational needs.

4.2 We may perform maintenance, repair, updates, or temporary interruptions when necessary and shall not be liable for such actions except as required by law.

4.3 We reserve the right to modify service rules, interfaces, workflows, technical architecture, and presentation formats.

6. Acceptable Use

You must not use the Services to:

6.1 Violate applicable laws, regulations, public order, or third-party rights; 6.2 Publish or transmit unlawful, harmful, harassing, abusive, defamatory, violent, discriminatory, infringing, or otherwise inappropriate content; 6.3 Impersonate others, mislead users, commit fraud, manipulate activity, or abuse promotions; 6.4 Reverse engineer, decompile, intercept, crack, bypass controls, or interfere with system security/stability; 6.5 Access, scrape, copy, distribute, or exploit platform data, code, or content without authorization; 6.6 Engage in conduct that harms us, other users, or third parties.

7. User Content and License

7.1 You are solely responsible for content you upload, publish, generate, transmit, or otherwise make available through the Services ("User Content"), and you represent that you have all required rights and permissions.

7.2 You grant us a worldwide, non-exclusive, sublicensable, royalty-free license to host, store, reproduce, process, transmit, display, adapt, analyze, and use User Content as necessary to provide, secure, improve, optimize, and lawfully operate the Services.

7.3 You acknowledge that technical processes may involve caching, backup, logging, and reasonable deletion delays.

8. Intellectual Property

8.1 All intellectual property rights in the Services (including software, technology, interface, trademarks, logos, text, images, audio/video, algorithms, and databases) are owned by us or our licensors.

8.2 Except as expressly permitted in writing, you may not copy, distribute, modify, reverse engineer, rent, resell, or commercially exploit any part of the Services.

8.3 Any rights not expressly granted are reserved.

9. Third-Party Services

9.1 The Services may include third-party websites, SDKs, payment channels, ads, content, or links.

9.2 Third-party services are provided independently and governed by their own terms and privacy policies.

9.3 Any disputes, losses, or charges arising from your use of third-party services are between you and the relevant third party.

10. Privacy and Data Processing

10.1 We process personal information in accordance with the Aura Privacy Policy.

10.2 By using the Services, you acknowledge and agree to the Aura Privacy Policy.

11. Disclaimer

11.1 To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis, without warranties of uninterrupted, error-free, or fully secure operation, or fitness for your specific purposes.

11.2 You are responsible for your own decisions and actions based on the Services, including verification and use of AI-generated content.

11.3 We are not liable, to the extent permitted by law, for interruptions, delays, or data anomalies caused by force majeure, network issues, third parties, regulatory actions, or maintenance/updates.

12. Limitation of Liability

12.1 To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, goodwill, or data.

12.2 Our aggregate liability for all claims relating to the Services shall not exceed the total amount you actually paid to us for the relevant Services during the six (6) months before your first claim (or the minimum liability permitted by law where no payment was made).

13. Breach, Suspension, and Termination

13.1 If you violate this Agreement or related rules, we may take measures including warnings, feature restrictions, content removal, account suspension, or termination.

13.2 We may suspend or terminate all or part of the Services where reasonably necessary for security, compliance, or operational risk control.

13.3 Provisions that by nature should survive termination (including IP, liability limits, dispute resolution, and indemnity-related provisions) will survive.

14. Changes to This Agreement

14.1 We may update this Agreement in response to legal, regulatory, or business changes.

14.2 Updated versions may be notified via in-app notice, website posting, or other reasonable means.

14.3 If you continue using the Services after updates take effect, you are deemed to accept the updated Agreement. If you disagree, stop using the Services.

15. Governing Law and Dispute Resolution

15.1 This Agreement is governed by the laws of the Hong Kong Special Administrative Region.

15.2 Any dispute arising out of or in connection with this Agreement shall first be resolved through friendly consultation. If unresolved, the dispute shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for arbitration under the HKIAC rules in force at the time.

15.3 The seat of arbitration shall be Hong Kong. The tribunal shall consist of one arbitrator. The arbitration language shall be Chinese (with English support where necessary). The arbitral award is final and binding.
